Convex Modern Slavery Act Statement
This statement is published in accordance with Section 45 of the UK’s Modern Slavery Act 2015 (“the Act”). It sets out the steps taken by Convex Insurance UK Limited and other associated group companies (including Convex UK Services Limited and Convex Corporate Services Limited) to ensure that slavery and human trafficking do not exist in our business or supply chains.
Our Business and Governance Structure
Convex is an international specialty insurer and reinsurer with approximately 500 employees worldwide. We have operations in London, Bermuda, Europe, the US and a presence in the Lloyd’s insurance market through Syndicate 1984.
Our Policies
Convex has a number of policies, practices and procedures in place which help promote high standards of integrity and ethical behaviour and mitigate the risk of modern slavery and human trafficking. Our policies are made reference to in our employment contracts and are made available to all staff on our internal webpage. These include:
- Recruitment and Employment Processes
Our recruitment processes comply with UK employment legislation and regulation, and we ensure that ‘right to work’ document checks and contracts of employment are in place prior to commencement of employment. Convex procures the services of recruitment agencies, which we ensure have robust mechanisms in place to minimise slavery and human trafficking.
- Whistleblowing
In-keeping with our commitment to doing business honestly, fairly, lawfully and with integrity, our whistleblowing policy encourages employees to speak up about any concerns regarding illegality, malpractice or mistreatment. Convex is committed to treating concerns in confidence and we provide access to Whispli, an independent reporting service, for anyone who wishes to make a report anonymously. All employees must complete mandatory annual training on whistleblowing.
- Remuneration, Working Environment and Leave
Our policies, including our Employee Handbook The Convex Codex, support a culture of fair, competitive and transparent remuneration for staff, an extensive benefits offering, a dynamic, respectful and flexible working environment and arrangements for leave for leisure, bereavement, career breaks and parenting. All employees are encouraged to uphold high behavioural standards and we have a zero tolerance approach to bullying, harassment and victimisation.
- Employee Engagement Survey
Each year, we invite all Convex staff to participate in an engagement survey which helps us identify if there are any issues with our practices and culture which might need changing, eliminating or remediating.
Our Supply Chain
We have arrangements with a variety of suppliers in 33 countries. As an insurer and reinsurer, we procure, design and sell intangible products and services and, as such, we do not believe we operate our business in an environment with a high risk of modern slavery. Nonetheless, Convex is committed to remaining vigilant to any potential risks within our supply chain, which informs how we choose and engage with our suppliers.
- Procurement Policy and Practices
Our Procurement Policy requires that we exercise due skill, care and diligence when selecting, entering and managing supplier relationships. In practice, this entails a risk identification, assessment and due diligence process which is conducted before entering into any supplier agreement and which is designed to identify the presence of human trafficking or modern slavery in any procurement partner.
- Supplier Code of Conduct
Our Supplier Code of Conduct sets out the expected behaviour of both Convex and our suppliers during the term of our engagement. In our third party contracts, we endeavour to maintain that our suppliers comply fully with the Act and take reasonable steps to ensure that there is no modern slavery or human trafficking in their or their subcontractor’s supply chains or in any area of their business. We reserve the right at any time to audit a supplier’s compliance with this Code and where there are any breaches or shortcomings, we reserve the right to demand corrective actions.
- Our Methods of Contracting
We draft and negotiate our contracts with our suppliers in a way which expressly documents our counterparties’ obligations under the Act. For example, our in-house template supplier and outsourcing agreements contain clauses under which service providers confirm their ongoing compliance with the Act and that to the best of their knowledge neither they, nor their personnel in their supply chain has (i) committed an offence under the Act; (ii) been notified of, or is aware of any circumstances that could give rise to, any investigation or prosecution under the Act.
Our Training
Our staff undertake a wide range of training and other learning relevant to the Act, including annual whistleblowing training and modules on Anti Money Laundering (AML) and Financial Crime.
Looking Forward
We understand that minimising and eradicating modern slavery is a continuous commitment. Each year, Convex reviews and enhances its modern slavery and human trafficking policies and practices to improve our supplier due diligence and detection mechanisms, raise staff awareness and further mitigate any risks in our business.
This statement is made pursuant to Section 54 (1) of the Act and constitutes Convex’s slavery and human trafficking statement.
